Russia’s richest man Roman Abramovich is in talks to buy a stake in Anglo-Dutch steelmaker Corus Group, Russian daily Kommersant reported on Thursday, June 1. The paper quoted unnamed investment banking sources as saying that London-based Abramovich had begun negotiations with Corus about acquiring a “stake below controlling”.
As MosNews has reported several days ago, Abramovich is also said to be holding negotiations for a 40 percent stake in one of Russia’s largest steelmaker Evraz Group, which in turn was rumored to be in merger talks with Corus back in March. Kommersant reported: “Experts do not exclude that Abramovich may become an initiator of an exchange of shares in both companies. In this case, Corus will get cheap raw materials from Russia, while Abramovich will become one of the key shareholders in Corus.”

“The application for a merger between Severstal and Arcelor has not yet been made to the anti-monopoly agency. However, we do not see any basis for blocking this deal,” the agency said in a statement on its Web site (www.fas.gov.ru). The statement basically confirms negotiations between Abramov and Abramovich on the purchase of a stake in Evraz.
In other news, Kommersant reports that Abramovich is looking to buy a minority stake in the UK's Corus. In the event this deal proceeds and the Evraz stake is also bought a merger between the two companies may be on the cards, although Evraz had earlier denied rumors of a merger with Corus. research.aton.ru

Within hours of the announcement, Rosneft, the Russian state-controlled energy company, said it would exercise an option to buy 51 percent of Sinopec's newly acquired assets, leaving the Chinese with a minority stake.
As a result, a majority of the former BP asset will pass to Rosneft, further tightening the Russian government's control of the oil industry.
The companies involved did not disclose the price of the oil fields, in the oil basin about 600 miles east of Moscow. The joint venture, TNK-BP, had earlier estimated their value at $3 billion.
Managers at TNK-BP were quick to rebuff suggestions that the company had been forced to sell the fields amid a falling-out with the Russian government. Shortly after BP formed the joint venture in 2003, the wind changed in Russia's energy policies to favor state control rather than foreign investment. The venture has been in a state of anxiety since.
In a speech on Monday to investors, Robert Dudley, TNK-BP's chief executive, said the fields were a poor fit in the company's portfolio and thus would be sold.

"I can only say we are not in talks with Corus for potentially merging our businesses," Evraz strategist Andrei Teterkin said during an investors' conference on Tuesday.
"The management of Evraz is not considering a merger with Corus."
But Evraz, one of the leading Russian steelmakers, is looking to expand in North America and Europe and has not ruled out future acquisitions, Teterkin added.
"We approach with great care all sorts of mergers or acquisitions," he said.
The steel strategist noted that acquisitions in Italy and the Czech Republic "do not represent a march to become the big consolidator of the sector."
Earlier this month, Russia's Kommersant daily reported that Abramovich was a key player in Kremlin plans to set up a giant steel holding that would combine Western technology with Russian mineral resources.Abramovich was planning to merge Evraz Group with Corus to create a new holding in which the Russian state would take a significant share, Kommersant said.
Dmitry Skvortsov, an analyst at the MDM bank in Russia, said there was "a high probability that Abramovich is readying a merger between Evraz and Corus."

Evraz, partly owned by billionaire Roman Abramovich, will pay $678 million to acquire Highveld Steel & Vanadium from Anglo American, bringing its global share of vanadium production to about 30 percent.
The deal comes three months after Evraz snapped up the second-largest producer of the element, U.S.-based Strategic Minerals Corporation, for $110 million, seeking to reduce reliance on suppliers. Vanadium is used to strengthen steel and titanium and is a key ingredient in certain petrochemical products.
“We have high expectations of Highveld’s internal growth plans for both its vanadium and steel businesses, including the expansion plan in excess of 1 billion rand [$13.8 million], which will increase [Highveld’s] steel output by more than 20 percent,” Evraz chairman Alexander Frolov said in a statement.
Evraz will complete the purchase of Highveld in several steps. Initially, the steelmaker and its long-term financial advisor Credit Suisse Group will each acquire 24.9 percent stakes in Highveld.
Once the deal has clearance from the South African and European antitrust authorities — Highveld owns an Austrian reprocessing plant — Evraz will be able to exercise its option to buy Anglo American’s remaining 29.2 percent in Highveld plus Credit Suisse’s stake.
Once Evraz has more than 33 percent in Highveld it will also have to make an obligatory buyout offer to all shareholders.
Abramovich and his partners own 41.3 percent in Evraz, while another 41.3 percent is mostly held by Evraz chairman Frolov and company founder Alexander Abramov.

Sie gefährdet die weltweit letzte Population westpazifischer Grauwale. 2005 bestand diese Population nur noch aus 100 Tieren, darunter 23 fortpflanzungsfähige Weibchen. Schon der Tod eines Weibchens pro Jahr würde nach Einschätzung von Experten das Ende des Bestands bedeuten.
Dass Russland sich plötzlich für die letzten westpazifischen Grauwale interessiert, ist allerdings nicht anzunehmen. Der eigentliche Grund für den Stopp dürfte ein anderer sein: Sachalin II ist das einzige Projekt in der Region, an dem keine russischen Unternehmen beteiligt sind. Der Energiekonzern Gasprom hatte vor Monaten versucht, nachträglich in das Projekt einzusteigen, doch die Verhandlungen scheiterte.

The huge media controversy surrounding the IPO of the oil group Rosneft, which acquired its major prospects from its rival Yukos in unusual circumstances, was expected to dampen enthusiasm for Russian flotations. But the eventual success of that float - helped by share purchases by blue-chip names such as BP - seems to have raised the level of interest in London rather than diminish it.
OGK-5, which provides about 6% of Russian's electricity from power plants in Moscow and elsewhere, priced its shares at 9 cents - at the top end of its 7.6 to 9.5 cent indicative range. This gave it a trading multiple of 20 times 2006 earnings compared with an average of seven for similar companies in emerging markets and eight for its peers in the west.Dmitry Skryabin, analyst with the Aton brokerage, said this price could not be justified. "Those investors that are buying are doing so in the hope that strategic investors will pay a premium for the equity and push the price up," he argued.
Away from the traditional Russian economic strengths, such as heavy manufacturing, oil and gas, there are new IPOs planned for pharmaceuticals (Pharmstandard) and property developers.
There are also flotations planned from companies in former Soviet nations, including the Kazakh state oil and gas group KazMunaiGaz, plus Kazahkstan's biggest bank, Kazkommertsbank, and the diversified conglomerate Eurasian Industrial Association.Artyom Konchin, at Aton brokerage in Moscow, says: "The LSE and [junior market] Aim platforms are fairly attractive and right now if anywhere is considered the best international place to list it must be London."
Analysts at Alfa Bank predict that Russian companies hope to raise up to £2.5bn in total over the next two months alone and accept that it will be a serious test for investor sentiment about Russia.While most western investors remain upbeat about prospects for that country under the dynamic but authoritarian leadership of the premier, Vladimir Putin, there are worries about state wrangles with foreign investors such as Shell.
The Co-operative Insurance Society, one of the UK's biggest institutional investors, has expressed concerns about Russian and east European companies coming to London. It sidestepped the offer to buy shares in Kazakhmys, the Kazakh copper mining group, and Rosneft. Ian Jones, head of responsible investment at the CIS, says: "How on earth can you understand them? People investing in these are speculators, not savers."But not everyone agrees. Elena Shafton, who runs an east European fund for Jupiter Asset Management in London, believes Russian companies in particular have made big strides in upgrading their boardroom standards.
The improvements have been largely driven by the tax assault on Yukos, which ended up with that oil group being driven into bankruptcy and its founder being imprisoned in Siberia, she says."Many resource-based companies did not bother paying taxes in the past and engaged in transfer pricing but the Yukos affair made companies so scared that they changed their ways and improved corporate governance," she says.Russian firms are ultimately like many others, she says. Investors need to understand their accounts and management strengths, she adds, pointing out the strength of the local economy would bring more candidates for floats in London. She did not expect the media frenzy over Rosneft to put off investors. "Yes, there was negative PR but, no, it did not affect investors."
The £5bn Rosneft privatisation was particularly controversial because of ongoing legal claims that it had "stolen" 70% of its enormous asset base from its rival Yukos but it is far from unique. The aluminium group Rusal, which says it wants to list in London before 2009, is now facing a bruising high court battle in Britain amid allegations of fraud and computer crime.
Russian companies do not have to follow the tougher combined code of corporate governance, which sets out requirements for disclosing executive pay and the appropriate structure of boardrooms. This is because the companies have issued GDRs rather than shares over here. GDRs have lower requirements for disclosure and corporate governance than shares.
Mr Butler believes the London Stock Exchange should clearly differentiate between those firms that do adhere to the combined code of corporate governance and those that don't. But the London Stock Exchange seems in little hurry for change and rejects the arguments that it is chasing new business at all costs, saying "sufficient safeguards" are in place. Tougher rules for IPOs abroad surprised middle-sized companies. Ein entsprechendes Absichtsprotokoll wurde von Vertretern von RusAl und des Energieministeriums von Papua-Neuguinea unterzeichnet, teilte RusAl am Freitag in Moskau mit. Die Unterschriften leisteten Minister William Duma und der Chef der RusAl-Repräsentanz in Australien, John Hannagan.
Die Seiten wollen das Potenzial der Kooperation bei der Nutzung von Gasressourcen Papua-Neuguineas für die Förderung von Aluminiumprojekten in der Region abschätzen. "Dieser Schritt ist Teil der Strategie von RusAl zur Umwandlung in ein Strom- und Metallurgieunternehmen", heißt es in der Mitteilung.
Im Rahmen der Strategie sucht RusAl aktiv nach neuen Möglichkeiten für die Erzeugung von konkurrenzfähigem Strom, der für den Bau und Betrieb von Aluminiumfabriken notwendig ist. Papua-Neuguinea, das über große Gasvorräte verfügt, fördert aktiv die Gasindustrie und betrachtet diese Branche als Grundlage für die Schaffung einer starken Industriebasis. Papua-Neuguinea hat ein großes Potenzial für die Schaffung solcher energieintensiver Produktionen wie Aluminiumschmelzen.
Die Seiten vereinbarten auch die Gründung einer gemeinsamen Arbeitsgruppe, die die von RusAl unterbreiteten Vorschläge bewerten wird.
RusAl zählt zu den drei weltweit größten Produzenten von Aluminium und Legierungen daraus. Fertigprodukte der Holding werden in 50 Länder exportiert. Das Unternehmen ist in neun Regionen Russlands wie auch in 13 anderen Ländern aktiv. RusAl gewinnt 75 Prozent des gesamten russischen Aluminiums und kontrolliert etwa 10 Prozent des weltweiten Aluminiummarktes.
Das Unternehmen war im März 2000 durch die Fusion der größten Aluminiumbetriebe und Tonerdefabriken der Gemeinschaft Unabhängiger Staaten (GUS) gegründet worden. Die RusAl-Anteile sind zu 100 Prozent im Besitz des Unternehmers Oleg Deripaska.

Schon bald könne sich die russische Vereinigte Flugzeugbaugesellschaft OAK dem globalen Konkurrenzkampf der Giganten Boeing und Airbus anschließen, schreibt die Internetzeitung „Gazeta.Ru“.
Nach Ansicht des Analysten Gairat Salimow von der Investmentgesellschaft Troika-Dialog kann es zwei Varianten der weiteren Entwicklung geben: Entweder werden sich die beiden Giganten auf den Kampf gegen den Newcomer konzentrieren und diesen vom Markt verdrängen, oder Airbus wird sich mit dem neuen Spieler im Kampf gegen den alten Konkurrenten zusammenschließen.
„Jetzt, wo der Konzern Airbus seine Spitzenposition verloren hat, wird es immer wahrscheinlicher, dass gerade dieses Unternehmen mit OAK kooperieren wird“, meint Salimow.
Von Boeing wäre aber ein solcher Schritt nicht zu erwarten, sagt der Experte. Der amerikanische Konzern habe bisher nie mit ausländischen Unternehmen erfolgreich kooperiert.
Dennoch erhielt Russland Anfang Januar ein Angebot von Boeing über die Entwicklung einer gemeinsamen Produktion. Verkehrsminister Igor Lewitin wollte das Boeing-Angebot vorerst nicht bewerten und teilte mit, derzeit werde analysiert, wer und bei welchen Produktionstypen als ein OAK-Partner in Frage kommen könnte.
Bereits bekannt sind allerdings die gemeinsamen Pläne von OAK und EADS, die den Bau eines Transport-Großraumflugzeugs vorsehen.

Die Vorteile, die sich aus solchen Verträgen ergeben, sind offenbar größer als alle potentiellen Gefahren, schreibt die Zeitung. Zuvor haben Ägypten und Marokko ihr Interesse an dem Bau eigener Atomkraftwerke mit russischer Beteiligung bekundet. Mit Algerien gibt es allerdings vorerst keine konkreten Vereinbarungen....Zuvor hatte Atomstroyexport-Chef Sergej Schmatko erklärt, sein Unternehmen erwäge Möglichkeiten für den Bau von Atomkraftwerken in der Türkei, in Ägypten, Marokko und Vietnam. Vorerst gibt es Bestellungen für fünf Reaktorblöcke in China, Indien und Iran.

Der russische Oligarch Oleg Deripaska hat neben der heimischen Strabag ein weiteres westliches Bauunternehmen als Investitionstarget auserkoren. Er hat sich bei dem grössten deutschen Bauunternehmen Hochtief engagiert. Der Einstieg erfolgte über seine zypriotischen Investmentvehikel Rasperia Trading Ltd und Valtoura Holdings Ltd, mit welchen Deripaska die Meldeschwelle von drei Prozent überschritten hat. Medienberichten zufolge erfolgte der Zukauf über die Börse, eine weitere Aufstockung ist seitens Deipaskas möglich.
Der russische Partner dürfte dem Hochtief-Management nicht ungelegen kommen. Erst im April meinte der Stellvertretende Vorsitzende des Vorstands, Herbert Lütkestratkötter: "Das Marktpotenzial in Russland ist so gross, dass wir sogar über einen strategischen Partner vor Ort nachdenken". Experten erwarten ein Bauvolumen in Russland von jährlich 55,5 Mrd. Euro in den Jahren 2006 bis 2008.
