CURRENT BUSINESS INFORMATION: Forlink Software Corporation, Inc. is a provider of Application Integration Technologies (AIT) and services for several industries in China. It focuses on providing total AIT solutions and applications for industry customers, comprising over telecommunications, finance, logistics, governments, retailing, etc. The Company's principal activities are the development and sale of network software system, provision of enterprise application system integration services in the PRC. As a significant part of system integration services, the Company is also engaged in the sale of computer hardware. Currently, the Company's business and operations concentrate in Beijing. The Company has two wholly-owned subsidiaries, FTCL and SLAIT. Through its subsidiaries, the Company is developing innovative products, industry expertise, project management skills and technologies necessary for the design and implementation of large-scale, specifications-intensive integrated application systems typically required by leading telecommunication service providers. The Company markets its products through Beijing Forlink Software Technology Company Ltd. and its website, www.softhouse.com. HISTORICAL BUSINESS INFORMATION: The Company was originally incorporated in 1986 in Utah as Why Not?, Inc. Subsequently, on December 30, 1993, the Company reorganized under the laws of Nevada. Beijing Slait Science & Technology Development Limited Co. was established in the People's Republic of China on January 25, 1998 as a limited liability company. Slait commenced operations in May 1998. The principal activities of Slait are the development and sale of network software system, and provision of enterprise application system integration services in the Peoples Republic of China. As a significant part of system integration services, Slait is also engaged in the sale of computer hardware. Slait has been granted a ten years operation period which can be extended with approvals from relevant PRC authorities. In May 1998, the Company entered into an agreement with Teknocapital Finance Ltd. In November 1998, the Company's name was changed to Light Energy Management, Inc. in anticipation of merging with another company. However, the merger did not occur, but the Company was unable to register the old name of Why Not?, Inc. In November 1999, the Company entered into a Plan of Reorganization with Beijing Forlink Software Technology Co., Ltd. Beijing Forlink Software Technology Co. was engaged in the Internet e-commerce and Internet software development business, and the Internet vertical portal business. Upon completion of the reorganization plan, the Company took over operations of that company. On January 11, 2001, Slait entered into an agreement of Plan of Reorganization with Forlink Software Corporation, Inc. Forlink had issued to the owners of Slait as individuals 59,430,000 authorized shares of common stock of Forlink in exchange of 100% of the registered and fully paid up capital of Slait.
