Ballard Files Base Shelf Prospectus To Replace Existing Shelf Prospectus Mar 22, 2021
VANCOUVER, CANADA – Ballard Power Systems (NASDAQ: BLDP; TSX: BLDP) (Ballard or the Company) has announced the filing of a preliminary short form base shelf prospectus (Prospectus), which provides the flexibility to make offerings of securities during the effective period of the Prospectus, until April 2023. The final short form base shelf prospectus is expected to be filed in April 2021 and will replace the existing shelf prospectus, which was filed in June 2020.
The Prospectus has been filed in each of the provinces and territories of Canada, and a corresponding shelf registration statement on Form F-10 (Registration Statement) was also filed with the United States Securities and Exchange Commission (SEC). These filings, when made final and effective, will enable offerings of securities up to an aggregate initial offering price of US$1.5 billion at any time during the 25-month period that the Prospectus remains effective. The Registration Statement has been filed with the SEC, but is not yet effective. Securities may not be sold nor may offers to buy be accepted prior to the time the Registration Statement becomes effective.
